1. Agreement to Terms

By commissioning work from Jiffy Software Solutions, you are agreeing to these terms. This document, along with any formal Proposal or Statement of Work (SOW) provided by us, constitutes the entire agreement between the company and the client.

2. Scope of Services

The specific scope of work, deliverables, timelines, and features for each project will be detailed in a separate document, such as a Statement of Work (SOW) or a formal proposal. Any work falling outside the scope of the agreed-upon SOW will be considered a "change request" and may incur additional charges and adjustments to the project timeline.

Our services may include:

  • Custom Software & Application Development
  • Web & Mobile Application Development
  • UI/UX Design
  • Software Maintenance & Support
  • Technology Consulting

3. Client Responsibilities

To ensure a successful and timely project, the client agrees to:

  • Provide all necessary access to information, systems, and personnel required for the project.
  • Supply all required content, including text, images, branding guidelines, and other assets, in a timely manner.
  • Designate a single point of contact authorized to make decisions on behalf of the client.
  • Provide timely feedback and approvals as requested by the company. Delays in feedback may result in project timeline extensions.

4. Payment and Fees

4.1. Fees:

Fees for Services will be outlined in the project's SOW. We may require an upfront deposit before work commences.

4.2. Invoicing:

Invoices will be issued according to the payment schedule in the SOW (e.g., upon reaching specific milestones, or on a recurring basis for ongoing work).

4.3. Payment:

All invoices are due and payable within 30 days of receipt.

4.4. Late Payments:

Payments not received by the due date will incur a late fee of 1.5% per month on the outstanding balance. The company reserves the right to suspend all work and withhold delivery of deliverables until payment is made in full.

5. Intellectual Property Rights

5.1. Client-Owned IP:

Upon receipt of final payment for a project, the company grants the client full ownership of the custom-developed code and final deliverables ("Project IP").

5.2. Pre-existing IP:

The company retains ownership of all pre-existing code, libraries, frameworks, tools, and know-how used to create the deliverables ("Company IP"). The Client is granted a non-exclusive, perpetual, worldwide, royalty-free license to use any company IP that is incorporated into the final Project IP.

5.3. Third-Party IP:

Any third-party software, stock media, or other assets used in the project will be subject to their own licensing agreements, and the client is responsible for complying with those terms.

6. Confidentiality

Both the company and the client agree to protect each other's confidential information from unauthorized use, access, or disclosure. This includes proprietary business information, trade secrets, customer data, and project details. This obligation of confidentiality extends beyond the termination of this agreement.

7. Warranties and Disclaimers

7.1. Warranty:

The company warrants that the Services will be performed in a professional and workmanlike manner. We will provide a warranty period of 90 days from the date of final project delivery, during which we will correct any defects or "bugs" (errors that prevent the software from functioning as described in the SOW) at no additional cost.

7.2. Disclaimer:

This warranty does not cover issues caused by third-party modifications, hardware failures, or changes in the client's IT environment. Except for the foregoing warranty, the services and deliverables are provided "as is." The company disclaims all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

In no event shall the company be liable for any lost profits, lost data, or any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these terms or the services, even if we have been advised of the possibility of such damages. The company's total cumulative liability in connection with these terms and the services shall not exceed the total amount of fees paid to the company by the client for the specific project giving rise to the claim.

9. Term and Termination

9.1. Term:

This agreement begins when the client engages our services and continues until all work is completed and final payment is made.

9.2. Termination for Cause:

Either party may terminate this agreement if the other party commits a material breach of these Terms and fails to remedy it within 30 days of written notice.

9.3. Effect of Termination:

Upon termination, the client is required to pay for all work performed up to the termination date. The company will deliver all work completed and paid for. confidentiality obligations will survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Uttar Pradesh, India, without regard to its conflict of law principles. Any disputes arising from this agreement shall be resolved through binding arbitration in Meerut, Uttar Pradesh.

11. General Provisions

11.1. Entire Agreement:

These Terms, together with any SOW, constitute the entire agreement between the parties.

11.2. Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

11.3. Force Majeure:

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, or natural disaster.
